These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "your") and ParseSphere Inc. ("ParseSphere," "we," "us," or "our"), a Delaware corporation. They govern your access to and use of the ParseSphere website at parsesphere.com, the Workspace application, the Parse API, and all related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity. If you do not agree to these Terms, do not access or use the Service.
These Terms should be read together with our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your information.
1. Definitions
The following defined terms apply throughout these Terms:
- "Account" means your registered ParseSphere account.
- "AI Output" means summaries, answers, SQL queries, data insights, citations, and any other content generated by the Service's artificial intelligence features in response to Your Content or your queries.
- "Credits" means the unit of metering used to measure your consumption of the Service, as described in Section 4.
- "Organization" means an entity within the Service that groups multiple users under shared billing and access controls.
- "Parse API" means ParseSphere's REST API for programmatic document extraction, OCR, table extraction, and related capabilities.
- "Service" means the ParseSphere platform, including the website at parsesphere.com, the Workspace application, the Parse API, and all related features, tools, documentation, and services.
- "Subscription Plan" or "Plan" means the tier of service you have selected (Free, Starter, Pro, Business, or Enterprise), each with its own credit allocation, feature access, and pricing.
- "Workspace" means a project container within the Service for organizing files, datasets, conversations, and AI interactions.
- "Your Content" or "User Content" means all documents, files, data, datasets, queries, prompts, chat messages, and other materials you upload to, submit through, or create within the Service.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must be at least 16 years of age (consistent with our Privacy Policy) and old enough to form a binding contract in your jurisdiction. If the age of contractual capacity in your jurisdiction is higher than 16, that higher age applies. ParseSphere does not knowingly provide the Service to anyone under 16 years of age.
2.2 Account Creation
To access most features of the Service, you must create an Account. When you create an Account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and update your information to keep it accurate;
- Not create more than one Account per individual (unless authorized Organization accounts);
- Not create an Account if we have previously terminated or suspended your access.
2.3 Account Security
You are responsible for maintaining the confidentiality of your Account credentials, including your password, API keys, and any other authentication tokens. You are responsible for all activity that occurs under your Account, whether or not authorized by you. You must notify us immediately at support@parsesphere.com if you suspect any unauthorized use of your Account.
2.4 Organizations
If you create or join an Organization, you agree that the Organization owner and administrators may manage your access, view usage within the Organization's Workspaces, and control billing. Organization-level roles (owner, admin, member) determine your permissions within that Organization.
2.5 Right to Refuse Service
ParseSphere reserves the right to refuse service, close accounts, or decline registrations at our sole discretion, for any reason consistent with applicable law.
3. The Service
3.1 Description
ParseSphere is an AI-powered document intelligence platform. The Service enables you to:
- Upload business documents (PDFs, spreadsheets, Word documents, presentations, images, and other supported formats) into Workspaces;
- Ask questions in plain English and receive AI-generated answers with source citations;
- Extract structured data from documents using OCR, table detection, and AI analysis;
- Generate SQL queries and data transformations over your datasets;
- Access document extraction programmatically through the Parse API.
3.2 Service Availability
The Service is provided on an "as available" basis. We may add, modify, suspend, or discontinue features of the Service at any time. We will use reasonable efforts to provide advance notice of material changes, but we are not obligated to maintain any particular feature.
3.3 Third-Party AI Processing
The Service uses third-party AI providers — including Anthropic (Claude), Google (Gemini), and Voyage AI — to process your documents and generate AI Output. By using the Service, you acknowledge that Your Content may be transmitted to these providers for processing as described in our Privacy Policy. We maintain zero-training agreements with all AI providers: your data is never used to train AI models.
3.4 No Guarantee of Accuracy
AI Output is probabilistic in nature and may contain errors, inaccuracies, omissions, or hallucinations. The Service provides source citations to help you verify output, but does not guarantee citation accuracy. You are solely responsible for reviewing, verifying, and validating any AI Output before relying on it.
3.5 Not Professional Advice
The Service and AI Output do not constitute legal, financial, medical, tax, accounting, or any other form of professional advice. The Service is not a substitute for consultation with qualified professionals. ParseSphere is not liable for decisions made based on AI Output.
3.6 Beta and Preview Features
ParseSphere may offer certain features designated as "beta," "preview," "early access," or "experimental." These features are provided for evaluation purposes, may be incomplete or contain bugs, and may be changed or removed without notice. Beta features are not covered by any SLA or uptime commitment, and the disclaimers in Section 12 apply with particular force. Your use of beta features is voluntary and at your own risk. We may collect additional usage data on beta features to evaluate and improve them.
3.7 Third-Party Service Dependencies
The Service relies on third-party providers for authentication, payment processing, cloud infrastructure, analytics, and AI processing. A full list of providers is available in Section 6 of our Privacy Policy. Your use of these services is subject to their respective terms and policies.
4. Subscriptions, Billing, and Credits
4.1 Subscription Plans
ParseSphere offers the following Subscription Plans:

Plan features, credit allocations, and pricing are subject to change as described in Section 4.8.
4.2 Free Trial
New users receive a Free plan with 500 Credits per month for 3 months. No credit card is required. At the end of the trial period, you must upgrade to a paid Plan to continue using the Service. Unused trial Credits do not roll over between months or after the trial period ends. ParseSphere will not charge you unless you affirmatively upgrade to a paid Plan. No payment method is required during the trial, and no automatic conversion to a paid Plan will occur.
4.3 Credit System
Credits are the unit of consumption for the Service. Different actions — such as uploading documents, asking questions, and using the Parse API — consume different amounts of Credits. Current Credit consumption rates are published on our pricing page and in the product documentation.
Credits are consumed from your monthly Plan allocation first. Unused monthly Credits do not roll over to the next billing cycle. ParseSphere reserves the right to adjust Credit consumption rates with reasonable notice.
4.4 Pay-As-You-Go Overage
Paid Plans (Starter, Pro, Business) include optional pay-as-you-go overage. When your monthly Credits are exhausted, additional usage is charged at $0.02 per Credit (50 Credits per dollar). You may pre-purchase overage Credits in amounts from $5 to $500 per transaction. Free plan users must upgrade to continue using the Service when Credits are exhausted.
4.5 Billing Cycle
Subscriptions are billed monthly and renew automatically on the same date each month. All payments are processed through Stripe.
4.6 Payment Terms
For paid Plans, you must provide a valid payment method through Stripe. You authorize ParseSphere (via Stripe) to charge your payment method for all applicable fees. You are responsible for keeping your payment information current.
4.7 Failed Payments
If a payment fails, your subscription status will be marked as past due. You will have a 7-day grace period during which the Service remains fully accessible while we reattempt payment. If payment is not resolved within 7 days, ParseSphere will restrict access to billable features (document processing, chat, file uploads) while preserving read-only access to your existing data. Your subscription will be cancelled if payment remains unresolved for 30 days after the original due date.
4.8 Price Changes
ParseSphere may change its pricing at any time. We will provide at least 30 days' advance notice of material price changes via email to your Account address. Price changes take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
4.9 Cancellation
You may cancel your subscription at any time through your dashboard settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then. Free plan subscriptions cannot be cancelled (they expire automatically at the end of the trial period).
4.10 Refund Policy
If you are a new subscriber on a paid Plan, you may request a full refund within 14 days of your first payment if you are not satisfied with the Service. To request a refund, contact support@parsesphere.com. Beyond this 14-day window, fees are non-refundable. No refunds or credits will be issued for partial subscription periods, plan downgrades, or unused Credits. ParseSphere may, at its sole discretion, offer refunds or credits on a case-by-case basis for exceptional circumstances.
4.11 Taxes
All fees are exclusive of applicable taxes. You are responsible for all sales, use, VAT, GST, and other taxes or duties imposed by any governmental authority with respect to your use of the Service, excluding taxes based on ParseSphere's net income.
4.12 Enterprise Plans
Enterprise Plans are governed by separate Order Forms or agreements. In the event of a conflict between these Terms and an Enterprise Order Form, the Order Form prevails for the scope of that agreement.
5. Your Content and User Responsibilities
5.1 Ownership
You retain all ownership rights to Your Content. ParseSphere does not claim any ownership interest in your uploaded documents, queries, data, or other materials. Your Content is your property.
5.2 License Grant to ParseSphere
You grant ParseSphere a limited, non-exclusive, worldwide license to host, store, process, display, transmit, and cache Your Content solely for the purpose of providing, maintaining, and improving the Service. This includes transmitting document content to third-party AI providers for processing. This license terminates when you delete Your Content or close your Account, subject to our data retention practices described in our Privacy Policy.
5.3 Your Warranties
You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to upload Your Content;
- Your Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other rights;
- You have the legal authority to grant the license described in Section 5.2;
- If Your Content contains personal data of third parties, you have a lawful basis for uploading and processing that data through the Service.
5.4 Responsibility for Content
You are solely responsible for Your Content, including the accuracy, legality, and appropriateness of all documents, data, and information you upload. ParseSphere does not pre-screen, review, moderate, or verify Your Content and has no obligation to do so.
5.5 No Training on Your Content
ParseSphere does not use Your Content to train, fine-tune, or improve AI models. We maintain zero-training agreements with all third-party AI providers. For details on how Your Content is processed, see Section 5 of our Privacy Policy.
5.6 Data Portability
You may download your original uploaded files individually through the Service at any time. For bulk data export requests, contact support@parsesphere.com. Exported data will be provided in its original format where possible, or in standard machine-readable formats (e.g., JSON, CSV). AI Output, chat history, and derived data (e.g., extracted tables, embeddings) may not be available in all export formats. ParseSphere will fulfill export requests within the timelines required by applicable data protection law (typically 30 days).
5.7 Backup Responsibility
While ParseSphere maintains backups for disaster recovery purposes (retained for 30 days), you are responsible for maintaining your own copies of Your Content. ParseSphere is not liable for any loss or corruption of Your Content, and you should not use the Service as your sole repository for important documents.
6. AI Output
6.1 Your Use of AI Output
As between you and ParseSphere, you may use AI Output generated in response to Your Content for your own lawful purposes, subject to these Terms.
6.2 Non-Exclusivity
AI Output is generated by general-purpose AI models and may be similar or identical to output generated for other users who submit similar content or queries. ParseSphere does not guarantee the uniqueness of any AI Output.
6.3 No Guarantees of Accuracy
AI Output is probabilistic and may contain errors, inaccuracies, incomplete information, or hallucinations. It is your responsibility to independently review and verify all AI Output before relying on it for any purpose.
6.4 Not Professional Advice
AI Output does not constitute legal, financial, medical, tax, accounting, regulatory, or any other form of professional advice. ParseSphere is not a licensed professional services provider in any field. You must not treat AI Output as a substitute for the judgment of qualified professionals.
6.5 Prohibited Medical Use
You must not use AI Output for medical diagnosis, treatment planning, clinical decision-making, or any purpose that could directly affect patient health or safety.
6.6 Source Citations
The Service provides source citations to help you trace AI Output back to specific documents and passages. However, ParseSphere does not guarantee the accuracy, completeness, or relevance of these citations. Always verify citations against the original source material.
6.7 Copyright Status of AI Output
The copyright protectability of AI-generated content is legally uncertain and varies by jurisdiction. ParseSphere makes no representation about the copyright status of AI Output or your ability to claim copyright protection over it.
7. Acceptable Use Policy
7.1 Prohibited Uses
You agree not to use the Service to:
- Upload, transmit, or process content for which you do not have the necessary rights or permissions;
- Upload content containing malware, viruses, ransomware, trojan horses, or other harmful code;
- Process content in violation of applicable privacy or data protection laws, including uploading documents containing third-party personal data without a lawful basis;
- Systematically extract, scrape, crawl, or download data from the Service beyond normal use of the Service's intended features;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying technology of the Service;
- Circumvent, disable, or interfere with rate limits, authentication mechanisms, credit metering, security features, or access controls;
- Interfere with or disrupt the Service, its servers, networks, or infrastructure, or impose an unreasonable load on the Service;
- Use the Service for any activity that violates applicable law, including but not limited to fraud, money laundering, or terrorism financing;
- Use the Service to harm, threaten, harass, stalk, defame, or intimidate any person;
- Resell, sublicense, lease, or redistribute access to the Service without ParseSphere's prior written consent;
- Use automated means (bots, scrapers, crawlers) to access the Service outside of the Parse API;
- Use the Service or AI Output to generate content that is misleading, fraudulent, or deceptive;
- Represent AI Output as human-generated in contexts where such disclosure is required by law, regulation, or the reasonable expectations of the audience;
- Reverse engineer the Service, or systematically use the Service for the purpose of building a product or service that substantially replicates the core functionality of ParseSphere using data, outputs, or reverse-engineered knowledge obtained through the Service;
- Exceed your Plan's usage limits or attempt to manipulate the credit system;
- Create multiple free Accounts to circumvent usage limits or trial restrictions;
- Share Account credentials or API keys with unauthorized individuals;
- Use the Service in a manner that could expose ParseSphere to legal liability or cause reputational harm.
7.2 Enforcement
ParseSphere reserves the right to investigate suspected violations of this Acceptable Use Policy. We may remove content and suspend or terminate Accounts that violate this policy, with or without prior notice depending on the severity of the violation. We will endeavor to provide notice and an opportunity to cure non-severe violations before taking action, but are not obligated to do so.
7.3 Export Compliance
You must comply with all applicable export control laws, trade sanctions, and import/export regulations. You may not use the Service if you are located in, or a resident of, a country subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted persons list.
8. Parse API — Additional Terms
The following additional terms apply to your use of the Parse API.
8.1 API Access and Keys
Access to the Parse API requires API keys, which you can generate and manage through your dashboard. API keys are tied to your Account and Organization.
8.2 API Key Security
API keys are confidential credentials. You are responsible for their security and for all activity conducted using your API keys. Do not embed API keys in client-side code, public repositories, or other insecure locations. If you suspect an API key has been compromised, rotate or revoke it immediately through your dashboard.
8.3 Rate Limits
The Parse API is subject to rate limits that vary by Plan. Current rate limits are published in the API documentation and communicated via standard response headers. Exceeding rate limits will result in temporary rejection of requests. You are responsible for implementing appropriate retry logic.
8.4 Webhooks
If you configure webhook URLs for asynchronous processing notifications, you are responsible for the security, availability, and performance of your webhook endpoints. ParseSphere will make reasonable efforts to deliver webhook notifications but does not guarantee delivery. Webhook payloads are cryptographically signed, and you should verify signatures to ensure authenticity. Implementation details are available in the API documentation.
8.5 API Versioning and Deprecation
ParseSphere may release new API versions and deprecate older versions. We will provide at least 6 months' notice before removing support for a deprecated major API version, and at least 3 months' notice for minor breaking changes. Deprecation notices will be communicated via email and API response headers.
8.6 Uptime
The Parse API is provided "as is" without uptime guarantees unless a separate Service Level Agreement (SLA) is negotiated as part of an Enterprise Plan. ParseSphere will use commercially reasonable efforts to maintain high availability but does not commit to specific uptime percentages for self-service Plans.
8.7 Competitive Use Restriction
You may not use the Parse API to build, train, or improve a product or service that substantially replicates the core functionality of ParseSphere using data, outputs, or reverse-engineered knowledge obtained through the Parse API.
8.8 Result Expiration
Parse API results are available for a limited time after completion. You are responsible for retrieving and storing results promptly. Expired results are permanently deleted and cannot be recovered. Current retention windows are published in the API documentation.
9. Intellectual Property
9.1 ParseSphere's Intellectual Property
The Service — including its software, source code, algorithms, user interface, design, trademarks, logos, documentation, and all underlying technology — is owned by ParseSphere Inc. or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in ParseSphere's intellectual property beyond the limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
9.2 Your Intellectual Property
As stated in Section 5.1, you retain all ownership rights to Your Content. These Terms do not transfer any of your intellectual property rights to ParseSphere.
9.3 Feedback
If you provide ParseSphere with feedback, suggestions, ideas, bug reports, or improvement requests ("Feedback"), you grant ParseSphere an unrestricted, irrevocable, perpetual, worldwide, royalty-free, fully paid-up, sublicensable license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit that Feedback for any purpose, without any obligation, compensation, or attribution to you. Do not share information you consider confidential as Feedback.
9.4 Trademarks
"ParseSphere," the ParseSphere logo, and associated branding are trademarks of ParseSphere Inc. You may not use ParseSphere's trademarks without prior written permission, except to truthfully and accurately reference the Service (e.g., "Built with ParseSphere" or "Powered by ParseSphere"), provided such use does not imply endorsement, affiliation, or sponsorship.
9.5 Open Source
Certain components of the Service may include open-source software subject to their own license terms. To the extent any open-source license terms conflict with these Terms, the open-source terms govern solely with respect to that component. A list of open-source components and their licenses is available upon request.
10. DMCA and Copyright Complaints
10.1 Respect for Intellectual Property
ParseSphere respects the intellectual property rights of others and expects users to do the same.
10.2 Filing a Copyright Infringement Notice
If you believe that content available through the Service infringes your copyright, you may submit a notice to our designated DMCA agent containing:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
- A description of the copyrighted work that you claim has been infringed;
- A description of the material you claim is infringing and its location within the Service, with sufficient detail for us to locate it;
- Your name, address, telephone number, and email address;
- A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
10.3 DMCA Agent

10.4 Counter-Notification
If you believe your content was removed in error or is not infringing, you may submit a counter-notification containing:
- Your physical or electronic signature;
- Identification of the material that was removed and its location before removal;
- A statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification;
- Your name, address, and telephone number, and a statement consenting to the jurisdiction of the federal court in the District of Delaware, and that you will accept service of process from the person who filed the original notice.
We will forward the counter-notification to the original complainant. If the complainant does not file a court action within 10 business days, we may restore the removed material.
10.5 Repeat Infringer Policy
ParseSphere will terminate the Accounts of users who are determined to be repeat copyright infringers, in appropriate circumstances and at our sole discretion.
11. Third-Party Services
11.1 Third-Party Integrations
The Service integrates with and relies on third-party providers for authentication, payment processing, cloud infrastructure, AI processing, and analytics. A full list of providers is available in Section 6 of our Privacy Policy.
11.2 Third-Party Terms
Your use of third-party services accessed through the Service is subject to those third parties' respective terms of service and privacy policies. ParseSphere is not a party to those agreements.
11.3 No Responsibility for Third Parties
ParseSphere is not responsible for the availability, performance, accuracy, or policies of third-party services. Outages, errors, or changes to third-party services may affect the availability or functionality of the Service.
11.4 External Links
The Service may contain links to third-party websites or resources. These links are provided for convenience only and do not imply endorsement, affiliation, or responsibility for their content.
12. Disclaimers and Warranty Limitations
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS PARSESPHERE'S OBLIGATIONS TO YOU.
12.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
12.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARSESPHERE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
12.3 PARSESPHERE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
12.4 PARSESPHERE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, OR TIMELINESS OF ANY AI OUTPUT, DATA, INFORMATION, OR CONTENT PROVIDED THROUGH THE SERVICE.
12.5 YOU ACKNOWLEDGE THAT AI OUTPUT IS GENERATED BY PROBABILISTIC MODELS AND MAY CONTAIN ERRORS, INACCURACIES, OR HALLUCINATIONS. YOU USE AI OUTPUT AT YOUR OWN RISK AND AGREE NOT TO RELY ON IT AS A SOLE SOURCE OF TRUTH, AS THE BASIS FOR ANY SIGNIFICANT DECISION, OR AS A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL ADVICE IN ANY REGULATED FIELD, INCLUDING BUT NOT LIMITED TO LAW, MEDICINE, FINANCE, AND TAX.
12.6 PARSESPHERE IS NOT RESPONSIBLE FOR THE CONTENT, ACCURACY, OR LEGALITY OF USER-UPLOADED DOCUMENTS OR ANY DATA DERIVED FROM THEM.
12.7 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES. IN THOSE JURISDICTIONS, THE ABOVE DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU MAY HAVE ADDITIONAL RIGHTS UNDER YOUR LOCAL LAWS.
13. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS PARSESPHERE'S LIABILITY TO YOU.
13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARSESPHERE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
13.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARSESPHERE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO PARSESPHERE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).
13.3 THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF PARSESPHERE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.4 THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY PROVIDED IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE.
13.5 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN THOSE JURISDICTIONS, PARSESPHERE'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13.6 NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (A) FRAUD OR FRAUDULENT MISREPRESENTATION; (B) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR (C) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS NOT PERMITTED BY APPLICABLE LAW.
14. Indemnification
14.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless ParseSphere and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:
- Your access to or use of the Service in a manner that violates these Terms or applicable law;
- Your Content, including any claim that Your Content infringes or misappropriates any third party's intellectual property, privacy, or other rights;
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right.
14.2 Cooperation
ParseSphere will provide you with prompt written notice of any claim subject to indemnification (to the extent legally permitted) and will cooperate reasonably with your defense at your expense.
14.3 Control of Defense
ParseSphere reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree not to settle any such claim without ParseSphere's prior written consent.
14.4 Limitation
This Section 14 applies only to the extent permitted by applicable law in your jurisdiction. Nothing in this Section requires you to indemnify ParseSphere for claims arising solely from ParseSphere's own negligence, willful misconduct, or breach of these Terms.
15. Term and Termination
15.1 Term
These Terms take effect when you first access or use the Service and remain in effect until terminated by either party.
15.2 Termination by You
You may terminate these Terms at any time by cancelling your subscription through your dashboard settings and ceasing all use of the Service. Account deletion can be initiated from your dashboard settings.
15.3 Termination or Suspension by ParseSphere
ParseSphere may suspend or terminate your access to the Service immediately, with or without notice, if:
- You materially breach these Terms (including the Acceptable Use Policy);
- You fail to pay amounts owed and do not cure the failure within a reasonable period;
- Your use of the Service poses a security risk, may cause harm to other users, or could subject ParseSphere to liability;
- We are required to do so by law, regulation, or court order;
- We discontinue the Service or a material portion of it (in which case we will provide reasonable advance notice where practicable).
ParseSphere may also deactivate your Account (restricting billable actions while preserving read access to your data) as an intermediate enforcement measure before full termination.
15.4 Effect of Termination
Upon termination:
- Your right to access and use the Service ceases immediately;
- Any outstanding subscription is cancelled, with no refund for the remaining period;
- Your Content — including documents, datasets, Workspaces, chat history, and saved prompts — will be scheduled for permanent deletion within 30 days, consistent with our Privacy Policy;
- Billing and transaction records will be retained as required by law (up to 7 years);
- Anonymized and aggregated data that does not identify you may be retained indefinitely;
- Usage event records are retained for 24 months after account closure for billing dispute resolution.
You are responsible for exporting any data you wish to retain before closing your Account.
15.5 Surviving Provisions
The following sections survive termination of these Terms: 1 (Definitions), 5.1–5.3 (Content Ownership and Warranties), 6 (AI Output), 9 (Intellectual Property), 10 (DMCA), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15.4–15.5 (Effect of Termination and Survival), 16 (Dispute Resolution), 18 (General Provisions), and any accrued payment obligations.
16. Dispute Resolution
16.1 Governing Law
These Terms and any disputes arising out of or relating to them or the Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
16.2 Informal Resolution First
Before filing any formal claim, both parties agree to attempt to resolve the dispute informally for at least 60 days. You may initiate informal dispute resolution by sending a written description of your claim to support@parsesphere.com. We will send notices to the email address associated with your Account.
16.3 Arbitration
Any dispute that cannot be resolved informally within the 60-day period shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if the AAA is unable or unwilling to administer the arbitration, by JAMS under its Streamlined Arbitration Rules & Procedures as a fallback). The arbitrator shall be selected in accordance with the applicable rules of the administering body. Arbitration will be conducted in English, either in Wilmington, Delaware, or remotely via videoconference at the claimant's election. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator rules otherwise.
16.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PARSESPHERE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise in writing, the arbitrator or court may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
16.5 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
16.6 Small Claims Exception
Either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim falls within that court's jurisdictional limits.
16.7 Injunctive Relief Exception
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement, unauthorized access, or other circumstances where monetary damages would be inadequate.
16.8 Right to Opt Out of Arbitration
You may opt out of the arbitration agreement in Sections 16.3 through 16.5 by sending written notice to support@parsesphere.com within 30 days of first accepting these Terms. Your opt-out notice must include your full name, the email address associated with your Account, and a clear statement that you wish to opt out of arbitration. If you validly opt out, neither party is bound by the arbitration, class action waiver, or jury trial waiver provisions, and disputes will be resolved in the state or federal courts located in New Castle County, Delaware. Opting out of arbitration does not affect any other provision of these Terms. If you do not opt out within the 30-day period, you will be deemed to have agreed to the arbitration provisions.
16.9 European Union and United Kingdom Users
If you are a consumer residing in the European Union, European Economic Area, or the United Kingdom, nothing in this Section shall deprive you of the protection afforded by mandatory consumer protection laws in your country of residence. In particular: (a) you are not required to submit to binding arbitration under Section 16.3 and may bring claims in the courts of your country of residence; (b) the class action waiver in Section 16.4 and the jury trial waiver in Section 16.5 shall not apply to the extent prohibited by applicable law; and (c) any mandatory statutory rights you have under EU or UK consumer protection law, including rights under the Consumer Rights Directive (2011/83/EU) and the Unfair Contract Terms Directive (93/13/EEC), are not limited by these Terms. To the extent there is a conflict between these Terms and mandatory EU/UK consumer protection law, the mandatory law prevails.
17. Modifications to Terms
17.1 Right to Modify
ParseSphere may modify these Terms at any time by posting the revised version on the Service and updating the "Last Updated" date.
17.2 Notice of Material Changes
For material changes, we will provide at least 30 days' advance notice via email to your Account address and/or a prominent notice within the Service before the changes take effect.
17.3 Acceptance of Changes
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your Account before the effective date. If you are on a paid Plan and reject a material change, you may continue using the Service under the prior version of these Terms for the remainder of your then-current billing period.
Material changes to the arbitration agreement (Section 16), limitation of liability (Section 13), or indemnification obligations (Section 14) will not apply to you until you affirmatively accept the updated Terms — continued use alone will not constitute acceptance of such changes. If you do not affirmatively accept within 60 days after the effective date, ParseSphere may, at its option, require you to accept the updated Terms to continue using the Service.
17.4 Non-Material Changes
Non-material changes — such as corrections of typographical errors, clarifications of existing language, or updates to formatting — are effective immediately upon posting and do not require advance notice.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Enterprise Order Forms, constitute the entire agreement between you and ParseSphere regarding the Service. They supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral, concerning the Service.
18.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
18.3 Waiver
ParseSphere's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by ParseSphere to be effective.
18.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without ParseSphere's prior written consent. ParseSphere may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent. Any attempted assignment in violation of this Section is void.
18.5 Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, pandemics, government actions, embargoes, power failures, internet or telecommunications outages, infrastructure failures, fire, flood, or third-party service outages. This provision does not excuse your obligation to pay fees already due.
18.6 Notices
Notices to you will be sent to the email address associated with your Account. Notices to ParseSphere must be sent to:

Notices are deemed received: (a) if by email, on the date sent (unless the sender receives a delivery failure notification); (b) if by mail, five (5) business days after deposit in the U.S. mail, postage prepaid, certified or registered, return receipt requested.
18.7 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and ParseSphere. Neither party has the authority to bind the other.
18.8 Export Compliance
You represent and warrant that: (a) you are not located in, or a citizen or resident of, a country that is subject to a comprehensive U.S. government embargo (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any U.S. government list of prohibited or restricted parties, including the Treasury Department's Specially Designated Nationals List or the Commerce Department's Denied Persons List; and (c) you will not use the Service in violation of any applicable export control or sanctions laws.
18.9 Headings
Section headings are for convenience of reference only and have no legal effect.
18.10 Government Users
If you are a U.S. federal, state, or local government entity, or any other sovereign or government entity, your use of the Service may be subject to laws that limit the applicability of certain provisions of these Terms (including arbitration, jury trial waivers, indemnification obligations, and limitation of liability). To the extent any provision of these Terms is prohibited or unenforceable under applicable government contracting laws or sovereign immunity doctrines, that provision shall not apply to you, and the remaining provisions remain in full force and effect. 18.11 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
18.12 Governing Language
These Terms are drafted in English. If these Terms are translated into any other language, the English-language version shall control in the event of any conflict or inconsistency between the English version and any translation.
18.13 Statute of Limitations
To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action accrues, regardless of any statute of limitations or other limitation period to the contrary. Any claim not filed within this period is permanently barred. This limitation does not apply to claims that, under applicable law, cannot be subject to a contractual limitations period.
18.14 Accessibility
ParseSphere is committed to making the Service accessible to all users, including individuals with disabilities. We target conformance with the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA.
